BYLAWS OF THE HUNT COUNTY G.O.P. CLUB

ARTICLE I  NAME

The official name of the organization shall be “Hunt County G.O.P. Club,” hereafter referred to as the “Club.”

ARTICLE II  OBJECTIVES

Section 2.1  Objectives

The objectives of the Club shall be as follows:

  • Provide a forum to educate the community, teaching the principles of conservative government.
  • Provide information during primary and general election seasons to membership and others to grow an informed voter base, facilitating the election of conservative Republican candidates.
  • Grow a group within Hunt County that is committed to support and participate in the election of conservative Republican candidates.
  • Increase the number of registered conservative Republican voters in Hunt County.
  • Encourage greater voter participation of Republicans in the election process; and
  • Exert a viable influence on local and State Republican policy and provide feedback on issues to our elected officials.

Section 2.2  Definitions

The Club defines a conservative Republican as one who believes in Limited Government, Fiscal Accountability, Personal Responsibility, Economic Opportunity, Strong National Defense, Pro­ Life, Traditional Marriage, Two Genders, Strict Constitutional Constructionist, and Rule of Law. We are America First.

ARTICLE III OFFICERS AND EXECUTIVE BOARD

Section 3.1  Officers

The officers of the Club will be President, Vice President, Secretary and Treasurer.

 

Section 3.2  – Executive Board

The Executive Board of the Club will consist of the Club President, Vice President, Secretary, Treasurer, and the immediate Club past President, who shall serve as an advisor to the Executive Board.

 

Section 3.3 – Duties

Duties of President: The President shall preside at all meetings of the Club and the Club Executive Board. The President shall appoint the chairman of all standing and special committees, excluding the nominating committee. With the approval of the Club Executive Board, the President may appoint a parliamentarian. The President shall serve ex officio to all committees, excluding the nominating committee. The President will obtain speakers for monthly meetings. The President shall have general supervision of the work of the Club.

Duties of Vice President: The Vice President shall perform the duties of President whenever the President is absent or otherwise unable to serve. The Vice President shall be an ex officio member of all committees excluding the nominating committee. The Vice President will perform other duties as directed by the President. The Vice President will ensure all members of the Club have a name tag. The Vice President shall preside over all meetings of the Club in which the President is not present. However, the Vice President may not make appointments or otherwise assume the office of President purely in the President’s absence at a regular meeting.

Duties of Secretary: The Secretary shall keep a factual and unbiased record of the business conducted at all meetings of the Club. The Secretary shall prepare the correspondence of the Club and shall have custody of all records pertinent to the Club. The Secretary’s primary source of notification shall be by email. It will be the members’ responsibility to keep this information current. The Secretary shall be protective of member’s privacy and may not distribute a list, including an email list of current or past members without the consent of the Executive Board. The Secretary shall manage the Club’s social media pages, working with the Communications Committee if such exists.  Performs other duties as assigned by the President of the Club to include all notifications to members via email or social media.

Duties of Treasurer: The Treasurer shall receive and be custodian of all funds of the Club and shall pay all bills authorized by the President of the Club. The Treasurer shall keep an account of all monies received and disbursed. The Treasurer will not approve payment of any Club expenditure of over $100.00 without the signature of the Club President. The Treasurer’s report will be accepted with a majority vote of the Executive Board. The report shall then be presented to the Club at the next regular meeting of the Club. A financial report may be given at any regular meeting of the Club if requested by any member of the club.  The Treasurer shall be responsible for verifying voting members’ eligibility at all votes taken by the club and distributing that list to the Executive Committee.

Duties of Executive Board: The Club Executive Board shall have the authority to transact any necessary business between meetings and to make recommendations as to the policies of the Club. The Executive Board shall serve as an advisor to the President and will fill vacancies that occur between elections. The Executive Committee has the authority to set the cost of dues without seeking a change in the bylaws. The Executive Committee may change the cost of membership by a two-thirds majority vote.  The Executive Board will provide direction to the Club to assure it is operating consistent with the objectives of the Club.

ARTICLE IV – COMMITTEES

Section 4.1 – Standing Committees

The standing committees of the Club shall consist of the following:

  1. Programs
  2. Hospitality/Events
  3. Communication/Technology
  4. Technology/Audio Visual

Section 4.2 – Duties

The duties of the standing committees shall be as follows:

  1. Programs: The President shall be chair of this committee
    1. Assists with programs for the monthly and special Club meetings.
    1. Arranges for procurement of speakers, meeting facilities and program agendas with the approval of the Executive Board.
    1. Prepares introductory remarks for each speaker at each meeting.
    1. Maintains a database of potential speakers on various topics.
    1. Prepares monthly and special program information for use on Facebook, the Club website, and any press release. Forwards this information to the chairman of the Communications committee on a timely basis for review prior to each program.
  2. Hospitality/Events:  An Executive Board member will be appointed by the President to chair this committee.
    1. Coordinates any events the Club holds or participates in.
    1. Works with the Vice President to ensure new Club members have name tags.
  3. Communications:  The Secretary will be chair of this committee.
    1. Maintains the Club’s social networking sites.
    1. Updates the social networking pages on a timely basis regarding events and activities.
    1. Assists the Club Treasurer with maintenance of the Club’s database.
    1. Prepares and delivers press releases with Executive Board approval.
  • Technology/Audio Visual:  An Executive Board member will be appointed by the President.
    • Manages audio/visual and or computer technology for the monthly meetings and other Club activities.

Section 4.3 – Committee Chairs

Each Standing Committee Chairperson is responsible for appointing one or more members to the Committee he/she chairs and giving this list to the Secretary.  Additional Standing Committees may be created by a majority vote of all members of the Board.

The Club President shall have the authority to remove committee chairmen with the majority vote of the Executive Board.

Section 4.4 – Terms

The term of office of Standing Committee Chairpersons shall be concurrent with the term of office for which officers of the Club are elected.

Section 4.5 – Special Committees

Short term or special ad hoc committees such as the ones listed below may be established or appointed as follows:

In accordance with Article VIII, Section 8.1

  • Nominations Committee is elected.

The President will appoint the following committees:

  • Membership
  • Audit
  • Bylaws
  • Education
  • Voter Recruitment and Registration
  • Legislative
  • Youth Outreach

Approval of the committee members other than the chairman shall be given by the Executive Board.

ARTICLE V – MEMBERSHIP

Section 5.1 – Regular Member

Any registered voter of Hunt County believing in the philosophy of the Republican Party and in the objectives of the Club shall be eligible for membership. Any member that is in good standing, by payment of dues and membership in the Club for 90 days, is thereby entitled to enjoy the full privileges of membership, including voting privileges at Club meetings in compliance with Club election rules.  Regular annual membership dues are $40.00 per person or $60 per married couple and are due on January 1 of each calendar year.
Reduced rates for students under 25 years of age are $20 per year. Any member found to be delinquent past February 28th will have their good standing status revoked until said dues are paid into the treasury of the Club. Any member that was in good standing in the previous year may pay dues after February 28th and before April 1st, and have their good standing status restored immediately for voting purposes. Annual dues are not prorated.

 

Section 5.2 – Associate Member

An Associate Member is a non-voting member that supports the Republican Party and the Republican Party of Hunt County but are not residents of Hunt County. Associate Membership dues are the same as regular member dues.

 

Section 5.3 – Honorary Member

The current State Republican Executive Committee (SREC) committeeman and committeewoman shall be given an honorary membership in the Club.

Section 5.4 – New Members

Individuals who join on or after December 1st shall be considered as having paid dues for the remaining months of that year as well as the dues for the following year.

ARTICLE VI – MEETINGS

Section 6.1 – Regular Meetings

The Club regular meeting should be held monthly on the third Monday at a time and location determined by the Club President. The Executive Board may change the date and time of a meeting with a two-thirds majority vote of the Executive Board without amending the Club bylaws. Unless ordered by the Club Executive Board, there shall be no less than six meetings annually. These meetings may be Club parties or other Club activities.

 

Section 6.2 – Executive Board Meetings

Regular meetings of the Club Executive Board should be held quarterly at a time and place determined by the Club President The President shall, at his/her discretion, invite others to attend Executive Board meetings including the elected Chairman of the Hunt County Republican Party and/or the Chairmen of the standing or special committees.

 

Section 6.3 – Special Meetings

Special Meetings of general membership and the Executive Board shall be held at the request of the Club President, or upon formal request of 20% of the members in good standing. The Executive Board also reserves the right to call a special meeting upon a majority vote of the Executive Board. The purpose of the meeting shall be stated by the President, Executive Board or in the formal request by the required membership. The special meeting shall not be held without five days’ notice being given to the membership by email of the special meeting. No other business other than the stated purpose may be discussed at a called special meeting.

 

Section 6.4 – Meeting Notification

Notices of the regular Club meetings should be communicated to the membership by email at least seven (7) days prior to the scheduled meeting. The Executive Board is responsible for ensuring proper notice is given.

 

Section 6.5 – Quorum

A quorum for a membership meeting of the Club will be 25% of members in good standing at any duly called meeting of the Club.

A quorum for a meeting of the Club Executive Board will require three members to be present for any duly called meeting of the Club Executive Board.

A quorum for a vote for Nominations Committee, if taken by email, must have a response rate of at least 25% of members in good standing.

ARTICLE VII – POLICY

Section 7.1 – Endorsements

The Club, and its Executive Board and committee chairmen acting in their official capacities shall not endorse any candidate for office in a contested Hunt County Republican Primary election. Individual members of the Executive Board may assist with a candidate’s campaign, but may not invoke the name or image of the Club in doing so. The Club may endorse Republican candidates in the General election with the majority approval of the Executive Board.

 

Section 7.2 – Campaigns

Individual members of the Club and the Executive Committee may work for any campaign they choose, but they may not invoke the name or image of the Club in doing so in the Primary election.

Section 7.3Resolutions

The Club and its officers may pass resolutions on issues after obtaining a majority vote of approval of Club members present at a Club meeting in accordance with its quorum rules.

 

ARTICLE VIII – NOMINATIONS AND ELECTIONS

Section 8.1 – Nominations for Office

A Nominations Committee for the Club Executive Board positions will be established by August of odd number years. The Nominations Committee will be elected by the Club membership via email or at a regularly called meeting. A sitting Executive Board member may not serve on the Nominations Committee. A quorum shall not be necessary to elect a Nominations Committee. The Nominations Committee shall have five (5) members.

An announcement of the first meeting of the Nominations Committee must be sent at least five (5) days prior to the first meeting. The Nominations Committee will elect its chairman from one of its elected members.

The next meeting of the Nominations Committee will be agreed upon before the end of the first meeting.

As a part of its deliberations, the Nominations Committee will consider responses to a written application developed by the Nominations Committee and Executive Committee. The Nominations Committee shall announce at least one nominee for each elected Executive Board position at or before the regularly called October meeting. It shall not be necessary for a quorum of the Club members to accept nominations. Any other nominations from the floor may be submitted at the same meeting to be considered by vote of the Club. If there are nominations from the floor, the nominees must provide verbal responses to the questionnaire used by the Nominations Committee. The candidates presented by the Nominations Committee may present their responses to the questionnaire by reading their written application or speaking extemporaneously. 

Each nominee must be a member in good standing to be considered for the position.

Presidential nominees must have been an active member for at least one (1) year

Section 8.2 – Elections

At the regularly called October meeting in odd numbered years, an election will be held to elect members of the Executive Board. If only one candidate is nominated for an office on the Executive Board, a voice vote shall be taken and that office shall be filled. If more than one candidate is nominated, an election shall be held by secret ballot. A majority of ballot votes shall fill any contested position on the Executive Board. Only present members who are in good standing may vote at any election of the Club.

Section 8.3 – Terms of Office

The Executive Board shall begin their term of office in January of each even numbered year. The term shall be for two years.

ARTICLE IX – VACANCIES IN OFFICES

Section 9.1 – Vacancies

A vacancy caused by resignation, death, incapacitation, or removal of an officer shall be filled by the Executive Board and ratified by the membership, except that a vacancy in the office of President shall be filled by the Vice President.

 

Section 9.2 – Removals

Elected officers may be removed by a 2/3rd vote of the members in good standing at a regular meeting. Any motion to remove an officer must first be delivered in writing to at least two (2) officers at least thirty (30) days prior to the meeting at which the vote to remove would occur. Any Executive Committee officer receiving such a notice of a vote should notify the rest of the board. Notice to voting members of the vote for removal will be made by email, phone or at a regularly scheduled meeting. Notice of the business meeting to address the proposed removal of an officer will be made to members in good standing at least five (5) days in advance of the proposed meeting.

ARTICLE X – PARLIAMENTARY AUTHORITY

Robert’s Rules of Order, Newly revised, or the latest edition thereof, shall govern all proceedings of the Club, except where inconsistent with the bylaws of the Club.

ARTICLE XI – AMENDMENTS TO BYLAWS

The bylaws of the Club may be amended by a two-thirds majority vote of the membership in good standing present at a duly called meeting. Members shall be notified by email of the proposed amendment(s) five days before they will be voted on by the membership.
